Terms of Service

The general terms our work runs on, written so you can read them before you sign anything. Last updated October 2026.

These terms cover the use of digitalmarketing.net.in and the digital marketing services Digital Marketing India provides. They are written to be readable rather than impressive. Where a client engagement is involved, they are the baseline: the signed proposal or engagement agreement sets out the specifics, and if anything in it conflicts with anything here, that signed agreement wins.

1. Scope of Services

We provide digital marketing services to businesses. Depending on what is agreed, that can include search engine optimisation, local SEO and Google Business Profile work, Google and Meta advertising management, social media management, content marketing, and analytics and reporting setup.

What we will actually do for you is defined in the proposal or engagement agreement for your account — the channels included, the deliverables, the reporting cadence, and the fee. Anything not written there is out of scope. We are happy to add work to an engagement; it is agreed and priced first rather than absorbed silently or billed as a surprise.

We are a service provider, not your employee, agent, or partner in a legal sense. We do not take on your regulatory obligations, and we do not represent that any content, claim, or offer you ask us to promote complies with the law or with industry-specific advertising rules that apply to your sector.

2. Engagements Are Month-to-Month

Our engagements run on a rolling monthly basis. There is no minimum term and no annual lock-in. Fees are billed monthly in advance unless your agreement says otherwise, and each month is a fresh decision on both sides.

Cancellation: either side may end the engagement by giving 30 days' written notice (email is fine). Work and billing continue through the notice period, because campaigns, content, and ad accounts need an orderly wind-down rather than an abrupt stop. Fees already paid for the current month are not refunded pro rata, since the work for that month is planned and under way. There is no cancellation penalty beyond the notice period.

We may suspend or end an engagement with immediate effect if fees remain unpaid after reminders, if we are asked to do something unlawful or deceptive, or if a platform suspends the account for reasons within your control.

3. Fees, Invoicing and GST

  • Fees are quoted in Indian Rupees (₹) and stated in your proposal.
  • GST is charged in addition to quoted fees at the rate applicable at the time of invoice, unless a quote explicitly states it is GST-inclusive.
  • Invoices are due within the period stated on the invoice. Work on the following month may be paused where an invoice remains unpaid.
  • Bank charges, payment gateway fees, and any withholding deducted at source are dealt with as required by law; TDS deducted should be accompanied by the usual certificate.
  • We will give reasonable written notice before any change to your monthly fee. Because the engagement is monthly, you are free to decline the change and give notice.

4. Advertising Spend Is Separate

This is the point most worth being clear about. Our management fee does not include your advertising budget. Money spent on Google Ads, Meta Ads, LinkedIn, or any other paid platform is yours, is separate from what you pay us, and is paid by you directly to the platform from a billing method in your own name on your own account.

We do not resell ad inventory, we do not mark up media, and we do not hold your ad budget. We recommend a budget, we allocate it across campaigns as agreed, and we report what it produced. You can see the spend in your own account at any time, because the account is yours.

You are responsible for keeping the payment method on your ad accounts valid. Campaigns stop when billing fails, and a stopped campaign produces no leads.

5. What We Need From You

Marketing engagements fail more often from slow input than from bad strategy. To do our part we need you to:

  • Give us timely access to the accounts and systems the work requires — website and hosting, Google Ads, Meta Business Manager, Google Analytics, Search Console, Google Business Profile, social profiles.
  • Review and approve or reject deliverables — copy, creative, landing pages, campaign plans — within a reasonable time. Where approval is not given and not refused, work can stall, and we are not responsible for delay caused that way.
  • Give us accurate information about your business, products, pricing, service areas, and any claims you want made. We write from what you tell us.
  • Tell us about legal, regulatory, or franchise restrictions that apply to how your sector may advertise.
  • Follow up on the enquiries the marketing produces. We can bring people to the door; we cannot answer the phone for you, and lead quality cannot fairly be judged if leads go unanswered.
  • Nominate one person who can make decisions, so that feedback does not arrive from several directions contradicting itself.

6. Your Accounts and Your Data Stay Yours

Any advertising account, analytics property, business profile, or social account we create for you is created in your name and under your ownership wherever the platform allows it. We work inside those accounts with access you grant us.

When an engagement ends, we remove our access and you keep the accounts, the historical data, and the campaign structures inside them. We do not hold accounts hostage, we do not delete your campaign history on exit, and we do not require you to hire us again to regain control of your own assets. If you want a handover conversation with your next agency or in-house team, we will do one.

7. Intellectual Property in Deliverables

On full payment of the fees due for the period in which it was produced, ownership of the deliverables we create specifically for you — ad copy, blog posts and articles, landing page copy, social content, and campaign creative — passes to you, and you may use, edit, and republish them as you wish.

Two things are excluded from that transfer. First, our own underlying know-how: our templates, frameworks, checklists, internal tooling, reporting formats, and general methods remain ours, and nothing here stops us using them for other clients. Second, third-party material such as licensed stock photography, fonts, or software, which remains subject to its own licence — we will tell you where a deliverable depends on one.

You warrant that anything you supply for us to use — logos, photographs, product images, text, testimonials, trademarks — is yours to use or properly licensed. You agree to indemnify us against third-party claims arising from material you supplied.

Unless you tell us otherwise, we may describe the type of work done and the results achieved in anonymous or aggregate terms. We will not name you, use your logo, or publish your figures as a case study without your written permission.

8. Confidentiality

Each side will keep the other's non-public business information confidential and use it only for the purposes of the engagement. On our side that includes your pricing, margins, sales figures, customer information, strategy, and anything else you share that is not already public. This obligation continues after the engagement ends. It does not apply to information that is already public through no fault of ours, that a party already had, or that must be disclosed by law.

Personal data handling for this website is described separately in our privacy policy.

9. No Guarantee of Rankings or Results

We do not guarantee search rankings, traffic volumes, lead counts, conversion rates, revenue, or return on ad spend, and you should treat any agency that does guarantee them with caution.

The reason is straightforward. Search rankings are decided by Google's algorithms, which change constantly, are not published, and are not under the control of any agency. Paid results depend on live auctions where your competitors' bidding, platform policy decisions, account reviews, and ad approvals all affect what your budget buys. Results also depend heavily on factors that sit on your side of the line: your pricing against the market, the strength of your offer, your website's ability to convert, how fast enquiries are followed up, seasonality, and general market conditions.

What we do commit to is the work: the agreed deliverables, executed competently, on schedule, with the campaigns actively managed and the results reported honestly — including the months that go badly. Any forecast, projection, target, or benchmark we share during a review or a proposal is an informed estimate to help plan a budget. It is not a promise, not a contractual commitment, and should not be relied on as one.

10. Limitation of Liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, or consequential loss, including loss of profits, loss of revenue, loss of anticipated savings, loss of business opportunity, or loss of data, however caused.

Our total aggregate liability arising out of or in connection with an engagement is limited to the total fees you paid us for the three months immediately preceding the event giving rise to the claim. For clarity, that limit is calculated on our management fees only; it does not include advertising spend you paid directly to platforms, since we never receive that money.

We are not liable for losses caused by platform outages, account suspensions or policy enforcement by Google, Meta, or any other third party, algorithm changes, hosting or website failures outside our control, or acts or omissions of anyone other than us. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud.

11. Third-Party Platforms

Delivering this work means operating inside platforms owned by other companies — Google, Meta, LinkedIn, WhatsApp, and others. Your use of those platforms is governed by their own terms, advertising policies, and community standards, and you are bound by them as the account owner. We will work within those policies and will tell you when something you want to run is likely to fall foul of them. We cannot override a platform's decision to reject an advert, restrict a feature, or suspend an account, and we are not responsible for a platform changing its pricing, features, policies, or reporting.

12. Use of This Website

The content on this site is provided for general information about our services. It is not advice on which you should act without a conversation about your own situation, and we make no warranty that it is complete or current. You may read, print, and share pages for your own business use; you may not republish substantial portions of the content as your own. Do not attempt to disrupt, probe, or gain unauthorised access to the site, and do not use the enquiry form to send spam or unlawful material.

13. Changes to These Terms

We may update these terms as our services change. The version published on this page is the current one, and the date below it tells you when it last changed. Material changes affecting an active engagement will be raised with you directly rather than left to be discovered here; because engagements are monthly, you always have the option to give notice if a change does not suit you.

14. Governing Law and Jurisdiction

These terms and any engagement under them are governed by and construed in accordance with the laws of India. Any dispute arising out of them is subject to the exclusive jurisdiction of the competent courts in India, at the seat named in your signed engagement agreement where one is named. Before starting proceedings, both sides agree to attempt in good faith to resolve the matter through discussion — most disagreements in this line of work are settled with a phone call.

A Note on This Document

These are general terms published so you know how we work before you talk to us. They are not legal advice. Where you have a signed proposal or engagement agreement with us, that document governs the relationship and takes precedence over anything on this page if the two conflict.
